Job Description

New River Valley Firm seeks an experienced corporate paralegal.

Candidates must be organized and detail-oriented, as well as have excellent communication skills and function well in a fast-paced environment.

The ideal candidate will have experience with incorporations, organizations, corporate filings, and corporate transaction documents. The successful candidate will be responsible for working with attorneys on transactional matters, closings, and new company organizations. Strong computer skills including Word, Excel, and PowerPoint are a must. Other work tasks will require the ability to do the following:

• Manage corporate maintenance matters such as stock and option ledgers

• Prepare draft corporate minutes, resolutions and other board-related materials

• Assist with administration of programs and policies governing executive compensation and use of corporate assets

• Support commercial transactions

• Prepare and coordinate due diligence materials for transactions

• Review/prepare disclosure schedules

• Maintain/create filing systems and other information management techniques for legal matters

• Review/proof documents generally

Must have references and a proven track record of top quality work. Successful candidate will have strong writing and editing skills, including familiarity with drafting and editing board resolutions and ancillary closing certificates to be reviewed by attorneys. Ability to multi-task and prioritize tasks appropriately a must.

Salary commensurate with experience; signing bonus included.

More than two years of experience a plus.
